Transactions

Shareholders’ agreements, sale of shares or of a business, representations and warranties, voluntary dissolution and liquidation.

Subsidiary or branch?

Most foreign groups choose a French subsidiary (SAS). A branch can make sense in some cases, with different consequences for liability and taxation.

After incorporation

A French company has recurring obligations: approval of accounts within six months of year-end, filings, registers and beneficial-ownership information. The firm can take care of them every year.

Fees exclude VAT (20% French VAT where applicable). Registry fees, legal notices, service costs and official taxes are charged separately. Preferential rates apply to companies under an outside counsel agreement.
